1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Meridian, including the website, dashboard, and any related services (collectively, the "Service"). The Service is currently operated by Vishesh Puri as an early-stage, unincorporated venture based in Newfoundland and Labrador, Canada ("Meridian", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What Meridian Is (and Isn't)

Meridian provides AI-assisted research tools for self-directed investors, including company search, filing summaries, portfolio tracking, dividend analysis, tax-context calculators, and related features focused on Canadian (TSX/TSX-V) and U.S. markets.

Quotes, dividend histories, filings, and other market data displayed in the Service are sourced from third parties, including TMX Money, SEDAR+, Twelve Data, and the Bank of Canada Valet API. This data may be delayed, incomplete, or occasionally incorrect. Meridian does not guarantee the accuracy, completeness, or timeliness of any third-party data and is not liable for decisions made based on it.

5. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

6. Subscription Plans & Billing

Paid subscriptions renew automatically at the then-current price until cancelled. You can cancel at any time from the Billing page in your dashboard; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. We may change pricing with at least 30 days' notice to active subscribers before it takes effect on their next renewal.

7. Acceptable Use

You agree not to: (a) reverse-engineer, scrape, or resell the Service or its underlying data; (b) use the Service to build a competing product; (c) attempt to circumvent usage limits, rate limits, or paywalls; (d) upload unlawful, infringing, or harmful content; or (e) use the Service in a way that violates applicable securities, tax, or other laws.

8. Intellectual Property

Meridian and its licensors own all rights, title, and interest in the Service, including its design, software, and branding. You retain ownership of any portfolio data or inputs you submit, and you grant Meridian a limited license to process that data solely to provide and improve the Service.

9. Third-Party Services

The Service relies on infrastructure and processing from providers including Amazon Web Services (hosting, authentication, database, and AI inference), Anthropic (AI model provider via AWS Bedrock), and Stripe (payment processing). Your use of the Service is also subject to the applicable terms of these providers where relevant.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or if required by law, with notice where reasonably practicable.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Meridian and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or investment losses, arising from your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) CAD $100, or (b) the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold Meridian harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Newfoundland and Labrador.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
